1. Agreement to these terms

These Terms of Service govern your use of ventoaviation.com, which is run by Vento Aviation LLC (“Vento Aviation,” “we,” “us”). By using the site, you agree to these terms. If you use the site for a company, you confirm you are authorized to act for it.

Our Terms of Sale govern every quote and purchase. If these terms and a signed agreement for a specific deal conflict, the signed agreement applies to that deal.

2. About Vento Aviation and this site

Vento Aviation is a stocking distributor of helicopter and business jet parts and a buyer of surplus aviation inventory. The site describes our business, shows parts we stock, and lets you send RFQs and surplus offers. We may change, suspend or remove any part of the site at any time.

3. Acceptable use

You agree to use the site lawfully. You will not:

  • Break any law, including export control, sanctions and anti-bribery laws.
  • Try to get unauthorized access to our systems or data.
  • Send malware or spam, or submit false RFQs or offers.
  • Copy or extract our inventory listings, part data or prices in bulk, by hand or with automated tools, without our written permission.
  • Misrepresent who you are, who you work for, or your authority.

4. Inventory listings, the RFQ cart and quotes

Parts shown on the site are a guide to what we stock. Quantities, conditions and availability change daily and are not guaranteed until we confirm them in a written quote. Adding parts to the RFQ cart or sending an RFQ asks for a quote. It is not an order.

A quote is valid for [30] days, subject to prior sale. An order becomes binding only when we accept your purchase order in writing. Our Terms of Sale govern all sales.

The site’s content, including text, page design, graphics, and the Vento Aviation name and logo, belongs to Vento Aviation LLC or is used with permission. It is protected by copyright and trademark law. You may view it in the normal way. You may not copy, change or republish it without our written permission.

Manufacturer names, part numbers, model designations and trademarks on this site belong to their owners. We show them only to identify the parts we stock or can source. Showing them does not mean Vento Aviation is an authorized distributor for, or affiliated with, any manufacturer, unless we say so.

If you believe something on this site infringes your copyright or trademark, email [website@ventoaviation.com] with:

  • the material and where it appears on the site;
  • the work or mark you say it infringes, and proof of your rights;
  • your name, address, phone number and email;
  • a statement that you believe in good faith the use is not authorized by the rights holder, its agent or the law;
  • a statement that your notice is accurate and that you are the rights holder or authorized to act for them.

We review every notice and remove material that infringes. If we removed your material and you think that was a mistake, write to the same address and we will look at it again.

The site may link to other websites and services, such as payment providers or social media. We are not responsible for their content, privacy practices or terms.

7. Website disclaimer

This section covers the website only. Warranties on parts are in our Terms of Sale.

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE FULLEST EXTENT THE LAW ALLOWS. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.

8. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, VENTO AVIATION AND ITS OFFICERS, EMPLOYEES AND AFFILIATES ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA OR GOODWILL, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ABOUT THE SITE IS LIMITED TO US$100. Liability for parts we sell is covered by our Terms of Sale.

9. Indemnity

You agree to defend, indemnify and hold harmless Vento Aviation and its officers, employees and agents against any claims, losses and costs, including reasonable attorneys’ fees, arising from your use of the site, your breach of these terms, or your violation of anyone else’s rights.

10. Governing law

These terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Disputes go exclusively to the state and federal courts in [Kings County], New York, unless the law requires otherwise, and you consent to their jurisdiction.

11. Changes to these terms

We may update these terms. We will post the new version and change the “Last updated” date. If you keep using the site after that, you accept the new terms.

12. General

If any part of these terms is found invalid, the rest stays in effect. If we don’t enforce a right, we have not waived it. These terms, together with our Terms of Sale and any signed agreement for a specific deal, are the whole agreement about the site.
